Terms of Service

1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Appuix, Inc., a Delaware corporation ("Appuix," "we," "us," or "our"), governing your access to and use of the V100.ai platform, including all associated services, APIs, SDKs, documentation, and any related software (collectively, the "Service").

By accessing, registering for, or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines referenced herein. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must immediately cease all use of the Service.

2 Description of Service

V100.ai is an enterprise Video Platform as a Service (VPaaS) that provides:

  • Video Conferencing — Real-time video, audio, and screen sharing powered by our proprietary RustTURN media server, supporting up to 1,000+ concurrent participants per session.
  • AI Auto-Editing — Automated video analysis, transcription, clip extraction, and content optimization using artificial intelligence models including large language models (LLMs), speech recognition, and computer vision.
  • AI Meeting Agents — Autonomous AI-powered agents including note takers, translators, action trackers, mood analyzers, and fact checkers that operate within video sessions.
  • AI Sales Avatars — AI-generated video avatars capable of conducting automated sales demos, discovery calls, and customer interactions using voice cloning and conversational AI.
  • Calendar & Scheduling — Native scheduling with public booking pages, two-way calendar sync (Google, Microsoft), embeddable widgets, and automated meeting creation.
  • Incremental Billing Engine — Per-minute, per-byte, and per-action billing infrastructure enabling granular usage-based pricing, pay-per-view events, expert marketplace monetization, and real-time revenue tracking.
  • White-Label Infrastructure — Multi-tenant platform isolation with custom domains, SSL, branding, and reseller provisioning.
  • Recording & Publishing — Cloud recording, transcription, caption generation, and one-click publishing to seven platforms.

The Service is provided on an "as available" basis and may be updated, modified, or enhanced at any time without prior notice.

3 Account Registration & Security

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your API keys, access tokens, and account credentials.
  • All activities that occur under your account, including those of sub-users, tenants, and API consumers.
  • Immediately notifying Appuix of any unauthorized use, security breach, or compromise of your credentials.
  • Ensuring that all users provisioned under your account comply with these Terms.

You must be at least 18 years of age to create an account. Appuix reserves the right to refuse service, terminate accounts, or revoke API access at our sole discretion.

API keys are scoped to your tenant and must not be shared, published in client-side code, or exposed in public repositories. Compromised keys should be rotated immediately via the dashboard or API.

4 Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, local, and international laws and regulations. The following uses are strictly prohibited and will result in immediate account termination, forfeiture of all prepaid balances, and referral to law enforcement where applicable:

Zero-Tolerance Prohibited Content

  • Child Sexual Abuse Material (CSAM) — Any content that depicts, promotes, glorifies, or facilitates the sexual exploitation or abuse of minors in any form. This includes real, AI-generated, deepfake, animated, or computer-generated imagery. V100.ai maintains automated detection systems and reports all instances to the National Center for Missing & Exploited Children (NCMEC) and applicable law enforcement agencies.
  • Child Grooming or Exploitation — Any use of the Service to contact, solicit, lure, or exploit minors, including through AI avatars, voice cloning, or automated messaging systems.
  • Non-Consensual Intimate Imagery — Distribution or creation of intimate or sexual imagery of any person without their explicit consent, including deepfakes, AI-generated likenesses, and manipulated media.
  • Terrorism & Violent Extremism — Content that promotes, incites, or provides material support for terrorism, violent extremism, or mass violence.

Additional Prohibited Uses

  • Illegal Activities — Using the Service to facilitate any activity that violates applicable law, including but not limited to fraud, money laundering, drug trafficking, human trafficking, illegal gambling, or the sale of controlled substances.
  • Harassment & Abuse — Using the Service to stalk, harass, threaten, intimidate, doxx, or abuse any individual or group, including through AI agents, voice cloning, or automated communications.
  • Impersonation — Using AI avatars, voice cloning, or any Service feature to impersonate real individuals without their explicit written consent, or to create misleading deepfakes intended to deceive.
  • Spam & Unsolicited Communications — Using the Service for bulk unsolicited communications, robocalling, automated meeting spam, or scheduling abuse.
  • Infrastructure Abuse — Attempting to reverse engineer, decompile, or disassemble any part of the Service; circumventing rate limits, security measures, or access controls; using the Service to conduct denial-of-service attacks or other attacks on third-party infrastructure.
  • Data Mining & Scraping — Systematically collecting or harvesting participant data, meeting content, or recordings without proper consent and authorization.
  • Intellectual Property Violation — Using the Service to distribute copyrighted material without authorization, or to generate AI content that infringes on third-party intellectual property rights.
  • Circumventing Billing — Manipulating usage metrics, exploiting billing calculation errors, creating fraudulent accounts to exploit free tiers, or any attempt to avoid legitimate charges.

Proactive Content Moderation

Appuix employs automated scanning, AI-based content analysis, and hash-matching technologies to proactively detect prohibited content. We cooperate fully with law enforcement investigations and comply with all mandatory reporting obligations under 18 U.S.C. § 2258A and equivalent international statutes.

White-label customers are jointly responsible for ensuring that end users on their branded instances comply with this Acceptable Use Policy. Failure to enforce these policies on sub-tenants may result in termination of the reseller account.

5 AI Services & Automated Processing

The Service incorporates artificial intelligence and machine learning technologies across multiple features. By using AI-powered features, you acknowledge and agree to the following:

AI-Generated Content

  • AI auto-editing, clip extraction, viral scoring, transcription, translation, and caption generation are performed by automated systems and may contain errors, inaccuracies, or omissions.
  • AI-generated content (including clips, captions, summaries, action items, and translations) is provided "as-is" and should be reviewed by humans before use in critical, medical, legal, or regulated contexts.
  • Viral scores, engagement predictions, and content recommendations are probabilistic estimates and are not guaranteed to produce specific outcomes.

AI Meeting Agents

  • AI agents (Note Taker, Translator, Fact Checker, Mood Tracker, Action Tracker) operate autonomously within meetings and process audio, video, and text in real time.
  • You are responsible for informing all meeting participants that AI agents are active and recording. Applicable "all-party consent" and "two-party consent" recording laws vary by jurisdiction; compliance is your responsibility.
  • Mood tracking and sentiment analysis produce algorithmic estimates of participant emotional states and should not be used as the sole basis for employment, medical, legal, or other consequential decisions.

AI Avatars & Voice Cloning

  • Voice cloning requires you to have legal rights to the voice being cloned. You must obtain explicit written consent from any individual whose voice is cloned.
  • AI avatars must not be used to deceive participants into believing they are interacting with a real human without disclosure. Automated interactions must be clearly identified as AI-powered.
  • You retain all rights to custom-trained voice models created using your data, subject to these Terms.

Data Processing for AI

  • Audio, video, and text data processed by AI features are used solely to provide the requested service. We do not use your content to train our AI models unless you explicitly opt in to a training program.
  • Transcription, translation, and analysis data are processed in real time and stored according to your data retention settings. You may delete AI-processed data at any time via the API or dashboard.
  • Third-party AI providers (e.g., transcription engines, LLMs) used by the Service are bound by data processing agreements that prohibit the use of your data for model training.

6 Billing, Payments & Incremental Pricing

V100.ai operates on an incremental, usage-based billing model. You agree to the following billing terms:

Usage-Based Charges

  • Video Minutes: Billed per participant, per minute of active video/audio connection. Partial minutes are rounded up to the nearest second and billed proportionally.
  • AI Agent Minutes: Billed per agent, per minute of active deployment. Each agent type has an independent per-minute rate as published on our pricing page.
  • AI Processing: Video editing, transcription, clip extraction, and rendering are billed per minute of source content processed.
  • Storage: Billed per gigabyte per month for recordings, clips, thumbnails, and media assets.
  • Bandwidth: Data transfer for streaming, downloads, and CDN delivery may incur additional charges at volume tiers.

Billing Cycle & Payment

  • Usage is tracked in real time and visible on your dashboard. Invoices are generated monthly on the anniversary of your account creation.
  • Payment is due upon invoice generation. Accepted methods include credit card, ACH, and wire transfer (enterprise accounts).
  • Overdue invoices accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
  • Platform tier fees (Launch: $0/mo, Growth: $199/mo, Scale: $499/mo) are billed at the beginning of each billing cycle and are non-refundable.

White-Label Reseller Billing

  • White-label customers may set their own pricing for end users. Appuix charges the wholesale rate; the spread between wholesale and retail pricing is retained entirely by the reseller.
  • Resellers are responsible for their own billing, collections, and tax compliance with end users.
  • Appuix is not responsible for disputes between resellers and their end users regarding pricing, billing, or refunds.

Pay-Per-View & Marketplace

  • The Service supports pay-per-view events and expert marketplace transactions with per-minute billing. Platform fees for marketplace transactions are disclosed at the time of listing.
  • Refund policies for PPV events and marketplace consultations are set by the event organizer or expert, subject to applicable consumer protection laws.

Refunds & Disputes

Usage-based charges are non-refundable once incurred. Platform tier fees may be refunded within 14 days of initial purchase if no significant usage has occurred. Billing disputes must be raised within 30 days of the invoice date by contacting billing@appuix.com.

7 Content Ownership & Intellectual Property

Your Content: You retain all rights, title, and interest in and to any content you upload, create, record, or generate using the Service ("Customer Content"), including video recordings, audio, transcriptions, AI-generated clips, and metadata. Appuix claims no ownership over Customer Content.

License Grant: You grant Appuix a limited, non-exclusive, worldwide license to process, store, transmit, cache, and display your Customer Content solely as necessary to provide the Service. This license terminates when you delete the content or close your account.

Appuix IP: The Service, including the RustTURN media server, AI models, algorithms, software, APIs, documentation, designs, trademarks, and all associated intellectual property, is and remains the exclusive property of Appuix, Inc. These Terms do not grant you any rights to Appuix's intellectual property except the limited right to use the Service as described herein.

Feedback: Any suggestions, feature requests, or feedback you provide regarding the Service may be used by Appuix without restriction or compensation.

8 HIPAA Compliance & Healthcare Use

V100.ai supports HIPAA-compliant deployments for healthcare providers, telehealth platforms, and covered entities. The following applies to healthcare use:

  • A Business Associate Agreement (BAA) is available on all paid plans and must be executed before the Service is used to process Protected Health Information (PHI).
  • All media streams are encrypted end-to-end using AES-256-GCM. Recordings, transcriptions, and AI-processed data are encrypted at rest and in transit.
  • Audit logs are retained for a minimum of 7 years in compliance with HIPAA retention requirements.
  • Role-based access control (RBAC) supports admin, provider, and patient role separation.
  • You are responsible for ensuring your use of the Service complies with HIPAA, HITECH, and applicable state health privacy laws. The availability of a BAA does not transfer compliance obligations from you to Appuix.

9 Data Security & Encryption

Appuix implements industry-leading security measures to protect your data:

  • AES-256-GCM encryption for all data at rest and in transit.
  • End-to-end encrypted media streams between participants.
  • Post-quantum encryption readiness for future-proof security.
  • SOC 2 Type II audited infrastructure.
  • Multi-tenant isolation with per-tenant encryption keys.
  • Fraud detection including brute force protection, credential stuffing detection, impossible travel analysis (>1,000 km/h velocity checks), and IP reputation scoring.
  • Regular third-party penetration testing and vulnerability assessments.

While we employ commercially reasonable security measures, no system is completely secure. Appuix is not liable for unauthorized access resulting from your failure to maintain credential security, compromise of your systems, or attacks beyond our reasonable control.

10 Service Level Agreement

Appuix provides the following uptime commitments:

  • Launch tier: Best-effort availability, no SLA.
  • Growth tier: 99.9% monthly uptime SLA. Service credits issued for downtime exceeding the SLA.
  • Scale tier: 99.99% monthly uptime SLA with dedicated infrastructure and automatic failover.

Scheduled maintenance windows are announced at least 48 hours in advance. Emergency maintenance for security vulnerabilities may be performed without notice. Downtime caused by third-party services, force majeure events, or customer-side issues is excluded from SLA calculations.

11 Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

APPUIX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE RESULTS OBTAINED FROM THE SERVICE (INCLUDING AI-GENERATED CONTENT) WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL APPUIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF APPUIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

APPUIX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO APPUIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12 Indemnification

You agree to indemnify, defend, and hold harmless Appuix, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any Customer Content.
  • Your violation of these Terms or any applicable law.
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
  • Any content transmitted, stored, or processed through your account.
  • Claims by your end users, tenants, or sub-users arising from your white-label deployment.

13 Termination

By You: You may terminate your account at any time by contacting support or through the account settings. Upon termination, you remain liable for all accrued charges through the date of termination.

By Appuix: We may suspend or terminate your account immediately, without prior notice, for any violation of these Terms, including but not limited to Acceptable Use Policy violations. We may also terminate accounts that remain inactive for 12 or more consecutive months.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. Customer Content will be retained for 30 days following termination, after which it will be permanently deleted unless legal retention obligations require otherwise. API keys and access tokens are revoked immediately upon termination.

14 Modifications to Terms

Appuix reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days prior to taking effect. Your continued use of the Service after the effective date of modified Terms constitutes acceptance of those modifications.

If you do not agree to modified Terms, you must discontinue use of the Service before the effective date.

15 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the seat of arbitration shall be Wilmington, Delaware.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16 General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any executed BAA or DPA, constitute the entire agreement between you and Appuix.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without Appuix's prior written consent. Appuix may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Appuix is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, pandemics, acts of government, internet outages, or cyberattacks.
  • Export Compliance: You agree to comply with all applicable export control laws and regulations, including U.S. Export Administration Regulations (EAR) and sanctions administered by OFAC.
